1. Acceptance of Terms

By accessing or using LeafNote (“the Service”), operated by LeafNote Inc. (“we,” “us,” or “our”), you agree to be bound by these Terms of Service. If you do not agree, do not use the Service.

2. Description of Service

LeafNote is a clinical documentation tool that assists licensed therapists in generating structured SOAP (Subjective, Objective, Assessment, Plan) notes from raw session notes using artificial intelligence. The Service includes client-side PII (Personally Identifiable Information) scrubbing, encrypted data storage, and HIPAA-conscious security measures.

3. Clinical Disclaimer

LeafNote is a documentation assistance tool, NOT a clinical decision-making system. AI-generated SOAP notes may contain errors, omissions, or inaccuracies. You, the licensed clinician, are solely responsible for reviewing, editing, and approving all AI-generated content before incorporating it into official patient records, insurance submissions, or any clinical documentation.

LeafNote does not provide medical advice, diagnoses, or treatment recommendations. We make no representations or warranties regarding the clinical accuracy of AI-generated output.

4. User Responsibilities

• You must be a licensed mental health professional or authorized clinical staff to use this Service for clinical documentation.
• You are responsible for ensuring all AI-generated notes are clinically accurate before use.
• You must comply with all applicable federal and state regulations, including HIPAA, in your use of the Service.
• You must not share your account credentials with unauthorized individuals.

5. Subscription & Billing

LeafNote operates on a subscription basis. By subscribing, you authorize us to charge your payment method on a recurring monthly basis. All fees are non-refundable except as required by law. You may cancel your subscription at any time through your account dashboard. Cancellation takes effect at the end of the current billing period.

A 7-day free trial is available for new users. If you do not cancel before the trial ends, your subscription will automatically convert to a paid plan.

6. Data Security & Privacy

We implement industry-standard security measures including AES-256 encryption at rest, TLS encryption in transit, row-level security isolation, and client-side PII scrubbing. For full details, see our Privacy Policy.

7. Intellectual Property

You retain full ownership of your clinical data and all SOAP notes generated through the Service. LeafNote claims no ownership over your content. The Service software, branding, and underlying technology remain our intellectual property.

8. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, LEAFNOTE SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF DATA, REVENUE, OR CLINICAL OUTCOMES, ARISING FROM YOUR USE OF THE SERVICE. OUR TOTAL LIABILITY SHALL NOT EXCEED THE AMOUNT YOU PAID US IN THE 12 MONTHS PRECEDING THE CLAIM.

9. Indemnification

You agree to indemnify and hold harmless LeafNote, its officers, directors, employees, and agents from any claims, damages, losses, or expenses arising from your use of the Service, your violation of these Terms, or your clinical practice.

10. Modifications

We may update these Terms at any time. Material changes will be communicated via email or in-app notification at least 30 days before taking effect. Continued use after changes constitutes acceptance.

11. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, without regard to conflict of law principles.
